SOMA Wellness Clinic – Terms & Conditions

These Terms & Conditions (“Terms”) govern access to and use of the website, mobile/digital platforms, and any services, consultations, programs, memberships, packages, therapies, diagnostics coordination, reports, and products offered under the brand name “SOMA Wellness Clinic” (“SOMA”), which is owned and operated by Somafusion Wellness LLP (“Company”, “we”, “our”, “us”).

By visiting our website, booking an appointment, purchasing a product, enrolling in a membership, or otherwise using any SOMA offering (collectively, the “Services”), you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

These Terms are an electronic record under applicable law and do not require physical or digital signatures.

Your use of the Platform does not by itself create a Practitioner‑patient relationship. A Practitioner‑patient relationship (where applicable) is formed only when a Practitioner accepts you for a consultation (in‑person or remote) and the consultation begins.

We may refuse, limit, or discontinue Services to any person for legitimate reasons (including safety, clinical appropriateness, suspected fraud, or violation of these Terms), subject to applicable law.

3. Eligibility

You must be at least 18 years old to use the Services. If you are under 18, a parent or legal guardian must provide consent and must accompany you (or be present/available, where applicable) for consultations and decisions. We may request age/identity verification at any time.

4. Nature of Services and Medical Disclaimer

SOMA provides preventive health, wellness, longevity and lifestyle-focused services, which may include medical consultations by qualified Practitioners, diagnostic assessments, wellness programs, therapies, coaching, memberships, and wellness products.

Unless a licensed Practitioner provides a diagnosis and/or treatment within a formal clinical consultation, the Content and general recommendations provided by SOMA (including on the website, messages, emails, reports, and programs) are for informational and wellness-support purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.

Do not ignore or delay seeking medical advice because of anything you read or receive from SOMA. Do not stop or change prescribed medication without consulting your treating doctor.

SOMA does not provide emergency care. If you believe you have a medical emergency, call your local emergency number immediately and/or go to the nearest emergency facility.

Results vary by individual. Any examples, testimonials, or typical results are not guarantees of outcomes. To the maximum extent permitted by applicable law, we make no guarantees regarding outcomes, durability of results, or fitness for a particular purpose.

5. Client Responsibilities and Informed Consent

You voluntarily assume all risks associated with participation, except to the extent caused by willful misconduct as determined by a competent authority.

6. Teleconsultations, Remote Services and Digital Communications

Where available, you may access consultations or support remotely (e.g., video, phone, chat). By opting for remote services, you consent to receive healthcare/wellness services through telecommunication technologies. Where a consultation is provided by a registered medical practitioner, it will be provided in accordance with applicable telemedicine practice requirements/guidelines (as notified/updated from time to time).

We may use email, SMS, WhatsApp or similar channels for operational communications if you provide/confirm those details. Such channels may not be fully secure. If you prefer not to use a particular channel, you must inform us in writing.

If a Practitioner believes an in-person evaluation is required, you agree to seek in-person care. SOMA may refuse, stop, or reschedule a remote session if identity, safety, or clinical appropriateness cannot be reasonably assured.

7. Diagnostics, Labs and Third-Party Providers

SOMA may facilitate or coordinate diagnostics (including lab tests, imaging, or device-based assessments) through third-party providers. Third-party providers have their own terms, policies, and professional obligations. To the maximum extent permitted by law:

8. Products, Supplements and Use at Your Own Risk

Products/supplements are intended for general wellness support and are not intended to diagnose, treat, cure, or prevent any disease unless explicitly stated on the product label and permitted by applicable law.

9. Orders, Shipping, Returns and Chargebacks

If you purchase products through our website or via payment links:

Returns/refunds (if any) will be governed by the return policy displayed on our website at the time of purchase and/or communicated in writing. Perishable, opened, used, or hygiene-sensitive items may be non-returnable except where required by law.

You agree not to initiate improper chargebacks. We may suspend Services, cancel memberships, or pursue recovery if a chargeback is raised without valid legal basis.

Fees for consultations, programs, memberships, packages, therapies, diagnostics coordination, and products are displayed on our website or communicated at the time of booking/purchase. Unless explicitly stated otherwise:

11. Appointments, Rescheduling, Cancellations and No‑Shows

Appointments are subject to Practitioner availability. Unless otherwise stated at the time of booking:

SOMA may reschedule due to Practitioner unavailability, clinical reasons, equipment issues, or safety concerns. Where we cancel and cannot reasonably offer an alternative, we will offer a reschedule or refund for the specific cancelled appointment, and where applicable we will ensure cancellation terms comply with Indian e‑commerce/consumer protection requirements.

12. Memberships, Packages and Subscriptions

Memberships/Packages are non-transferable and for your personal use only. Benefits, inclusions, pricing, and partner offerings may change over time. If your plan is subscription-based, it may auto-renew unless you cancel as per the cancellation instructions provided at signup.

We may suspend or terminate a Membership/Package if we reasonably believe there is misuse, sharing, fraud, abusive conduct, or repeated violations of these Terms. In such cases, refunds (if any) will be at our discretion and subject to applicable law.

13. Promotions, Coupons and Gift Cards

Promotions are subject to stated terms, validity periods, and may be modified or withdrawn at any time. Coupons are not redeemable for cash unless required by law. Gift cards/vouchers, if offered, may have expiry dates and usage restrictions as communicated at the time of purchase.

14. User Accounts and Security

If you create an account, you are responsible for maintaining confidentiality of login credentials and all activities under your account. Notify us promptly of any unauthorized use. We may suspend accounts to protect users, security, or compliance.

All Content, branding, trademarks, logos, text, graphics, audio/video, reports, and materials are owned by or licensed to Somafusion Wellness LLP and are protected under applicable intellectual property laws. Any copying, distribution, public display, resale, or derivative use is prohibited without prior written consent.

If you submit reviews, feedback, images, or other content, you grant SOMA a worldwide, royalty‑free, non‑exclusive license to use, reproduce, adapt, and publish such content for lawful business purposes (e.g., service improvement, marketing), unless you explicitly withdraw consent in writing where withdrawal is available.

We may moderate or remove content that is unlawful, misleading, offensive, or violates these Terms.

By providing your contact details, you consent to receive service-related communications (e.g., booking confirmations, reminders, invoices, and important updates). Marketing communications (if any) will be sent in accordance with your consent/preferences and applicable law. You can opt out of marketing messages using the unsubscribe mechanism or by contacting us.

Your use of the Services is subject to our Privacy Policy. We collect and process personal data (including health-related information, where applicable) for purposes such as providing Services, maintaining records, processing payments, and improving user experience. We implement reasonable technical and organizational measures to protect data, but no system is completely secure.

By using the Services, you consent to such processing and to sharing of relevant information with Practitioners and third-party providers involved in delivering the Services, subject to the Privacy Policy and applicable Indian data protection laws (including the Digital Personal Data Protection Act, 2023, to the extent applicable).

We retain records as required by law and for legitimate business purposes. You may have rights to access, correction, or other actions as described in the Privacy Policy.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services and Content are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components.

21. Limitation of Liability

To the maximum extent permitted by applicable law:

22. Indemnity

You agree to indemnify, defend, and hold harmless Somafusion Wellness LLP, its partners, directors, employees, Practitioners, contractors, and affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your misuse of the Services; (b) your breach of these Terms; (c) your violation of any law or third-party rights; or (d) information you provide that is inaccurate, incomplete, or misleading.

23. Force Majeure

We are not responsible for any delay or failure in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, pandemics, governmental actions, power/network failures, strikes, supply chain disruptions, or acts of terrorism.

24. Suspension and Termination

We may suspend or terminate access to the Platform or Services (including Memberships) immediately if we reasonably believe you have violated these Terms, engaged in fraud, created safety risks, or harmed SOMA/Practitioners/other users. Upon termination, the limited license granted to you ends, and you must stop using the Services.

25. Dispute Resolution and Arbitration

If any dispute arises, the parties will first attempt in good faith to resolve it through written notice and negotiation. If unresolved within 30 days, either party may seek resolution through arbitration in Mumbai, Maharashtra under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed mutually. The language of arbitration shall be English.

Nothing in this clause prevents a consumer from approaching an appropriate consumer dispute redressal forum or other competent authority where such right cannot be contractually waived.

26. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to Clause 25 (Dispute Resolution), courts in Mumbai, Maharashtra shall have exclusive jurisdiction.
